Wiwynn Corporation 2023 Annual Shareholders’ Meeting

Taipei, May 29, 2023 – Wiwynn Corporation (hereinafter, “the Company”, TWSE Stock code: 6669) today held its 2023 Annual Shareholders’ Meeting at 9:00am at meeting rooms at second floor of Building C in Oriental Science Park (2F., No. 94, Sec. 1, Xintai 5th Rd., Xizhi Dist., New Taipei City, Taiwan, R.O.C.) The meeting is hosted by Simon Lin, the Chairman. In the meeting, 2022 Business Report and Financial Statements are acknowledged, and resolutions including cash dividends distribution of NT$50 per share and the election of the fifth term of directors are passed.

Shareholders’ Meeting Summary:

• In the fiscal year of 2022, consolidated revenue was NT$292.876 billion, which increased by 52.0% year-over-year. The net profit after tax was NT$14.175 billion, which increased by 63.9% year-over-year. The basic earnings per share (EPS) was NT$81.07.
• Passed a resolution on the distribution of profit in the fiscal year of 2022. Cash dividends distribute to common shareholders is NT$8,742,039,550, as NT$50 per share.
• Passed a resolution on the election of the fifth term of directors, including independent directors. The term of service is from May 29, 2023 to May 28, 2026. Newly elected directors are Emily Hong, Frank Lin, Sylvia Chiu, Sunlai Chang, Steven Lu, Charles Kau (independent director), Simon Dzeng (independent director), Victor Cheng (independent director), and Cathy Han (independent director).

Business Focus:

• Continue investing datacenter IT infrastructure equipment development. The Company also develop different CPU and GPU platforms to satisfy the diverse application demands from different customers, including power efficiency and workload optimization.
• Followed by the trend of increasing generative AI tools, power saving and thermal technology will be the next match point for the data center industry.. On thermal technology, the Company’s liquid cooling technology integrates server and liquid cooling equipment, and promotes cold plate and immersion cooling technology. It can assist customers to increase power efficiency and provide thermal solutions with higher efficiency.
• On sustainable development, Wiwynn dedicated to achieve the vision “Unleash the Power of Digitalization, Ignite the Innovation of Sustainability”. In 2023, the Company’s goal of carbon emission reduction has been officially approved by the Science-Based Targets initiative (SBTi). In the fourth quarter of 2022, the Taipei Headquarters has fully adopted renewable energy.. The Company continuously to promote activities such as coastal tree planting and internal plastic reduction. The Company also achieved a result of top 5% for Corporate Governance Evaluation among listed companies in TWSE (Taiwan Stock Exchange Corporation).

Outlook and Prospect:

• Considering the continuous economic downturn, the Company cautiously follow, and timely adjust our response to the economic impacts and uncertainties. Looking forward, long term demand for cloud industry and AI servers is still growing, the Company will continue investing the data center technology.
• The Company established the targets of net-zero carbon emission by 2040 and use 100% renewable energy by 2030. The Company endeavors to minimize carbon emissions generated from product development and manufacturing activities, and achieves carbon reduction at source and cooperates with supply chain partners. With a sustainability mindset, the Company aims to grow with upstream and downstream industries together.
